Due Diligence Request

This Non-Disclosure Agreement ("Agreement") relates to the accompanying documents and SOC Reports (“Confidential Information”) that are considered confidential and proprietary to CMFG Life Insurance Company and its affiliates ("CMFG Life"). Such Confidential Information may only be used to assist in fulfilling due diligence or related obligations in accordance with applicable federal and state laws, rules or regulations and/or request for a proposal (the “Business Purpose”). Any representative of a Credit Union, authorized vendor acting on behalf of a Credit Union or Business Entity performing due diligence on its own behalf, accessing the Confidential Information in connection with the Business Purpose is considered a recipient ("Recipient" or "you") and agrees to hold and keep the Confidential Information in strict confidence, to not disclose, distribute or disseminate the Confidential Information to any employee or agent of Recipient not having a need to know, nor to any non-affiliated third party without prior written approval of CMFG Life. Recipient agrees that anyone with whom you share the Confidential Information must be informed of the terms of this Agreement and you shall be responsible for any breach of this Agreement by any such parties. Recipient agrees to protect and maintain the confidentiality and security of the Confidential Information with at least the same degree of care as it normally exercises to protect its own confidential information of a similar nature, but in any case, using no less than a reasonable degree of care. It is Recipient's responsibility to ensure compliance of Recipients employees and business partners with this provision. Recipient acknowledges that any breach of this Agreement may result in irreparable injury to CMFG Life for which monetary damages alone may not be an adequate remedy. The parties agree that in the event of a breach or threatened breach, CMFG Life shall be entitled to specific performance and injunctive or other equitable relief as a remedy without the necessity of posting a bond or other security.

By clicking "I Agree", Recipient agrees to maintain the confidentiality of the Confidential Information and comply with the terms and conditions of this Agreement.

If Recipient cannot agree to the foregoing, you cannot proceed with this request and must contact your CUNA Mutual Group representative for assistance.
